TERMS OF USE

1. Who We Are and Who These Terms Apply To

  • 1.1 Coachello SAS (“Coachello”, “we”, “us”) is a French technology company registered with the Paris, Chamber of Commerce under SIREN 899 565 709, with its registered office at 103 Rue du Temple, 75003 Paris. We provide professional coaching services and data analytics through a platform accessible via Microsoft Teams, Slack, and our web application.
  • 1.2 These Terms of Use apply to you as an individual user (“you”) of the Coachello platform.
    Depending on how you access Coachello, you will be in one of the following two program types:

    • Employer-sponsored program: Your employer (the “Client”) has entered into a Coaching Services Agreement with Coachello that authorises your access. Your program may include human coaching sessions, AI coaching, or a combination of both. Your employer’s agreement governs the commercial relationship with Coachello; these Terms govern the relationship between Coachello and you personally.
    • Individual-subscriber program: You access Coachello’s AI coaching services directly as an individual subscriber. Your program may include human coaching sessions, AI coaching, or a combination of both. Your relationship with Coachello is governed entirely by these Terms.
  • 1.3 By accessing or using the Coachello platform, you confirm that you have read, understood, and agree to these Terms. If you do not agree, please do not use the platform and contact support@coachello.io.

2. Your Account

  • 2.1 Employer-sponsored users: Your access is provided through your employer’s subscription. You will receive an invitation by email or through your Microsoft Teams or Slack environment. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account.
  • 2.2 Individual-subscriber users: You may access the platform directly by creating an individual account.
  • 2.3 Employer-sponsored users: your access may be suspended or terminated if your employer’s agreement with Coachello ends, if you leave your employer, or if you breach these Terms. Coachello may also suspend access if instructed to do so by your employer. Individual-subscriber users: your access may be suspended or terminated if you breach these Terms, fail to maintain a valid subscription, or if Coachello discontinues the standalone program with reasonable prior notice.

3. Human Coaching

This section applies where your program includes sessions with a human professional coach.

  • 3.1 Coachello connects you with certified professional coaches from its global coaching community. All coaches hold recognised certifications (ICF PCC/MCC or EMCC equivalent) and are vetted, onboarded, and continuously monitored by Coachello. You will be matched with a coach based on your profile, goals, and preferences, but always have a final say, and may always change your coach at whatever moment in your coaching journey.
  • 3.2 Coaching is a professional development service based on a relationship of trust and confidentiality.
  • What you share with your coach stays confidential. Coachello does not share the content of your coaching sessions with your employer, your manager, or any third party. Only anonymised, aggregated data (e.g., the number of sessions attended) is visible to your employer.
  • 3.3 Coaching is an obligation of means, not results. Coachello and its coaches commit to delivering the highest quality of professional engagement, but do not guarantee specific outcomes, performance improvements, or any particular result from your participation.
  • 3.4 Coaching is not a substitute for medical, psychological, psychiatric, or therapeutic care. If you are experiencing a mental health crisis or require emergency support, please contact a qualified professional or emergency services immediately.
  • 3.5 Credits are allocated to you by your employer and are valid for twelve (12) months from your program kick-off date. If you cancel a session less than twenty-four (24) hours before the scheduled time, the credit will be consumed. Unused credits expire at the end of the program period.

4. AI Coaching and AI-Powered Features

  • 4.1 AI coaching features available on the platform include:
    • AI Coaching Companion: A virtual AI coach available on demand for development conversations, role-plays, assessments, ad-hoc challenges, and coaching support between or instead of human sessions.
    • Avatar AI Roleplays: Immersive coaching delivered by a digital AI avatar to practice difficult situations and give feedback on skill gaps.
    • Session Transcription (opt-in only): Transcription of your human coaching sessions to generate accurate summaries, insights, and follow-up recommendations. This feature activates only with your explicit consent.
    • AI-assisted coach matching: AI analysis of your profile and goals to recommend the most suitable human coach from Coachello’s network (where applicable).
  • 4.2 If your program includes human coaching sessions, AI features are available as an optional complement. You are never required to use AI features, and opting out will not affect your access to human coaching. Session Transcription is always strictly opt-in.
  • 4.3 Hallucination disclaimer. Coachello’s AI systems are designed to provide helpful, relevant, and constructive coaching support. However, AI models can occasionally produce outputs that are inaccurate, incomplete, or inconsistent with facts, a phenomenon known as “hallucinations.”
  • Coachello applies best efforts to minimise this but cannot guarantee the accuracy of every AI- generated response. AI outputs, whether in a standalone program or as a complement to human coaching, do not constitute medical, psychological, legal, financial, or any other form of regulated professional advice. Please exercise your own judgment and seek qualified professional support where needed.
  • 4.5 Your privacy in AI features. Before any of your data is processed by an AI model, personal identifiers are encrypted or pseudonymised. Your data is never used to train any AI model. All AI features operate under the same ISO 27001:2022 and Microsoft 365 compliance standards as the rest of the platform. For full details, see our Privacy Policy at www.coachello.ai/privacy-policy.
  • 4.6 EU AI Pact and EU AI Act. Coachello is a signatory of the EU AI Pact and is committed to transparent, human-centric, and responsible AI in compliance with the EU Artificial Intelligence Act.This includes appropriate transparency about AI capabilities and limitations, and human oversight of AI systems.

5. Acceptable Use

5.1 You agree to use the Coachello platform solely for your personal professional development as intended. You must not use the platform in any way that is unlawful, harmful, or contrary to these Terms.

  • 5.2 If you witness or experience any abusive, inappropriate, or unprofessional behaviour on the platform, whether from another user or a coach, please report it to support@coachello.io immediately. Coachello takes all such reports seriously.
  • 5.3 Coachello reserves the right to suspend your access to the platform if you breach these Terms, pending investigation and resolution.

6. Intellectual Property

  • 6.1 All intellectual property rights in the Coachello platform, including its interface, design, content, AI models, methodologies, and materials, belong exclusively to Coachello. Nothing in these Terms grants you any ownership rights over Coachello’s intellectual property.
  • 6.2 Any notes, reflections, or content you create within the platform (such as pre-session assessments or post-session notes) remain yours. You grant Coachello a limited licence to use this content solely to deliver and improve your coaching experience, in accordance with our Privacy Policy.

7. Platform Availability and Changes

  • 7.1 Coachello aims to provide a reliable, high-availability platform. However, we cannot guarantee uninterrupted access. Scheduled maintenance or unforeseen technical issues may occasionally affect availability. We will endeavour to notify users in advance of planned downtime.
  • 7.2 Coachello may update, modify, or discontinue features of the platform from time to time. We will communicate material changes through the platform or by email. Continued use of the platform after such changes constitutes acceptance of the updated Terms.

8. Limitation of Liability

  • 8.1 Coachello’s liability to you as an individual user is limited to the fullest extent permitted by applicable law. Coachello is not liable for indirect, consequential, or incidental losses arising from your use of the platform, including loss of data, loss of opportunity, or any reliance on AI-generated content.
  • 8.2 Nothing in these Terms limits Coachello’s liability for death or personal injury caused by gross negligence, or for any liability that cannot be excluded by law.
  • 8.3 Coachello holds professional civil liability insurance (AIG Europe SA, Policy No. AIG23022774864, up to €1,500,000 per period) and cyber insurance (Dattak, Policy No. 25121200007, up to €1,000,000 per incident). These policies provide an additional layer of protection in the event of a qualifying incident.

9. Privacy

  • 9.1 Coachello processes your personal data in accordance with its Privacy Policy, available at www.coachello.io/privacy-policy. We apply Privacy by Design principles across the platform, collecting only what is necessary and never retaining data longer than needed.
  • 9.2 To exercise your data rights (access, correction, deletion, portability) or to raise a privacy concern, contact: legal@coachello.io.

10. Emergency and Crisis Support

  • 10.1 The Coachello platform is not designed or equipped to handle mental health emergencies, crises, or situations requiring immediate professional intervention. If you or someone you know is in crisis, please contact your local emergency services, a mental health helpline, or a qualified healthcare professional immediately.
  • 10.2 If you raise a crisis situation with your coach, your coach may encourage you to seek appropriate professional support. Coaching sessions do not constitute therapy, counselling, or medical treatment.

11. Changes to These Terms

  • 11.1 Coachello may update these Terms of Use from time to time. Material changes will be communicated by email or in-app notification. The current version is always available at www.coachello.io/terms. Continued use of the platform after any update constitutes acceptance of the revised Terms.

12. Governing Law

  • 12.1 These Terms of Use are governed by French law and, where applicable, the GDPR and EU Artificial Intelligence Act. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the competent courts of Paris, France.
